Mark Anthony Rodríguez is the founder of a cross-border corporate strategy and advisory practice serving founders, developers, investors, family offices, and operating companies across North America, where he has lead cross-disciplinary teams spending the last decade advising leading companies, and family offices on their corporate and financial matters across North America.

His work sits at the intersection of construction, capital, and governance: helping founder-led and corporate teams structure ventures, deploy capital, and build durable operating platforms. Over the past decade, he has advised complex and emerging companies, and more recently has structured financings, joint ventures, and the formation of specialty operating companies navigating compliance across the U.S. and the dynamic Mexican market.  He brings a bilingual, cross-border perspective, combining executive-level advisory work with hands-on experience as a founder and operator in the construction, professional services, and private capital sectors.

Mark gained international experience through work with leading U.S. and Mexican firms, bringing a bilingual, cross-border perspective to every engagement. He is based out of the San Francisco Bay Area in the United States.


Introduction 

Mark draws on a family legacy spanning second-generation construction, fifth-generation ranching, and multi-generational government affairs across North America. This background gave him early and sustained exposure to the intersection of construction, capital, and governance; along with capital formation, fundraising, entrepreneurial strategy, and the structural and regulatory complexities of general commercial operations. That foundation shaped a sophisticated understanding of operational execution, risk management, capital allocation, and the competitive forces that govern modern industries. 

Relevant Experience

  • Advised multiple cross-border investors on the investment management strategies and existing portfolios across North America.
  • Currently leading the structuring of credit & debt facilities backing for independent founder-led companies, emerging managers and developers in the U.S. and Mexico.
  • Originated and represented strategic transactions such as joint ventures, strategic partnerships, strategic alliances, minority and majority investments, co-investments and corporate development initiatives.
  • Counsel to sponsors and lenders on secured, mezzanine, and structured financings for public and private entities.
  • Advised founding teams and portfolio companies on board formation, composition, and governance structures; including independent director recruitment, advisory board design, committee frameworks, and alignment of board incentives with long-term strategic and capital objectives.

  • Advising as a founding partner at León Barrena Rodríguez & Equity Partners, a private equity platform specializing in management services organizations (MSO) opportunities, with a dedicated focus on the legal, accounting, and government affairs sectors of the professional services industry across North American markets.

    Through its permanent capital vehicle, LBR&EP will buy, hold, and incubate professional services firms, complemented by active involvement in AI-rollup transactions across the industry.

    As for the independent, client-facing firm; León Barrena Rodríguez & Partners LLP serves as the public identity of the group. León Barrena Rodríguez & Partners is a multidisciplinary professional services firm (Government Affairs, Legal, Tax and Accounting) advising a diverse portfolio of clients across North America.

    Previously, he led an emerging consolidation-and-growth company in an adjacent, construction-oriented space, where he assembled an experienced board of directors with:
